Use of Our Services
Our platform and mobile app are intended for personal, non-commercial use only. You may not use our services for any illegal or unauthorized purpose. You are responsible for complying with all applicable laws and regulations when using our platform.
Intellectual Property
All content, features, and functionality available on our platform and mobile app, including but not limited to logos, images, text, graphics, videos, and software, are the intellectual property of our company and are protected by applicable copyright, trademark, and other intellectual property laws.

When using our services, you agree not to engage in any of the following prohibited activities:
Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our platform or mobile app, including but not limited to loss of profits, data, or business interruption.
Termination
We may terminate or suspend your access to our services, with or without cause, at any time and without prior notice. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Vendor Partnership for African Village Market
1. Purpose
This Memorandum of Understanding (MOU) sets forth the terms and conditions governing the vendor partnership between African Village Market ("Company") and Participating store ("Vendor") to promote and sell unique products at the African Village Market (AVM).
2. Term
This MOU shall become effective on the date of store registration and shall remain in effect until terminated by either party in accordance with the termination clause outlined in this agreement.
3. Vendor Obligations
a) Products: The Vendor agrees to provide high-quality, authentic products for sale at the African Village Market.
b) Inventory Management: The Vendor will maintain an adequate inventory of products to meet market demand.
c) Presentation and Display: The Vendor shall present their products in an appealing manner and maintain a clean and well-organized display area.
d) Compliance: The Vendor will comply with all applicable laws, regulations, and licensing requirements pertaining to their products and business operations.
e) Pricing and Payment: The Vendor will determine the pricing of their products. The African Village Market will provide a decentralized payment system to handle transactions between customers and the store of all vendors and an option for "Pay on Delivery" for invoices or goods orders less than ₦5,000 to protect our vendors and their business. Upon each successful payment, the funds will be deposited into the vendor's wallet within the system and will be available for withdrawal after a period of 48 hours. It takes 2 working days (T+2) for the funds to be deposited into your provided bank account from the AVM Merchant app. The African Village Market will not handle any financial transactions between the Vendor and customers beyond facilitating the decentralized payment system (Wallet). African Village Market (AVM) believes that using a decentralized payment system is the best way to ensure the security, compliance, and scalability of its platform. This will allow AVM to provide a better experience for its customers and partners.
f) Commission: The Vendor agrees to pay a commission of 5% on the total value of successful orders and settlements within 48 hours, provided that the delivered order does not have any issues or refund requests from customers.
4. Company Obligations
a) Promotional Support: The Company will actively promote the Vendor's products through various marketing channels, including but not limited to Google Play Store, Apple Store, social media, website features, newsletters, and special events.
b) Stall/Space Allocation: The Company will allocate an appropriate stall/space for the Vendor within the African Village Market premises or provide a virtual space on the online marketplace, subject to availability and market layout requirements.
c) Communication and Updates: The Company will maintain regular communication with the Vendor regarding market-related updates, promotional opportunities, and any changes to policies or procedures.
5. Intellectual Property
Both parties acknowledge that they retain all rights, titles, and interests in their respective intellectual property. The Vendor grants the Company a limited, non-exclusive right to use the Vendor's logo, branding, and product images for promotional purposes directly related to the African Village Market partnership.
6. Termination
Either party may terminate this MOU by providing written notice to the other party 7 days in advance. In the event of termination, both parties shall fulfill their obligations until the effective date of termination.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information obtained during the course of the vendor partnership.
8. Governing Law
This MOU shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
9. Entire Agreement
This MOU constitutes the entire understanding between the parties concerning the subject matter herein and supersedes any prior agreements or understandings, whether written or oral.
Changes to These Terms and Conditions
We reserve the right to update or modify these Terms at any time without prior notice. Any changes will be effective when posted on our platform. Your continued use of our services after any modifications signify your acceptance of the revised Terms and Conditions.
